These Terms of Service set out how Ockoe works with its clients. By engaging Ockoe, you agree to these terms.

They’re here to create clarity, protect both parties, and ensure projects run smoothly and professionally.

1. About Ockoe

Ockoe is a UK-based web design and digital services business.

Throughout these terms, “Ockoe”, “we”, “us” or “our” refers to Ockoe.
“You” or “the client” refers to the individual or business engaging our services.

2. Services

Ockoe provides digital services including, but not limited to:

Website builds and rebuilds
Ongoing website support and maintenance
Ad-hoc web and digital work
The exact scope of work will be agreed in writing before work begins.

3. Entering into an agreement

A binding agreement is formed when any of the following occurs:

You accept a written quote or proposal
You confirm acceptance by email
You pay an invoice or deposit
You sign a separate contract (used for larger or higher-value projects)
These Terms of Service apply alongside any proposal, quote, or contract.

4. Payments

4.1 Project-based work
Payment is required before work begins
Typically structured as: 50% upfront, and 50% on completion
For some projects, payments may be split across milestones (e.g. 50% / 25% / 25%)

4.2 Ongoing support
Charged monthly in advance
Services may be paused if payment is not received on time

4.3 Ad-hoc work
Invoiced before work is undertaken
May be paid in full or split by agreement

Ockoe reserves the right to adjust payment structures by agreement where appropriate.

5. Late or non-payment

If payment is late or not received:

Work may be paused until payment is made
Deliverables may be withheld
Ockoe retains ownership of all work until paid in full
The agreement may be terminated for non-payment
Ockoe reserves the right to charge statutory interest on overdue invoices, though this is applied at our discretion.

6. Client responsibilities

To keep projects running smoothly, clients agree to:

Provide all required content, assets, access, and information before the project starts where requested
Respond to communications and approvals within a reasonable timeframe
Ensure supplied content does not infringe third-party rights
Delays caused by missing information or late responses may result in:

Revised timelines
Additional costs where applicable

7. Communication & availability

Clients may contact Ockoe at any time.

Standard business hours are Monday to Friday, 9am–5pm (UK time)
During these hours, responses can be expected within one business day
Messages outside business hours are responded to at Ockoe’s discretion
Urgent issues (such as a website being offline) may be responded to sooner where deemed necessary.

8. Revisions & scope changes

Reasonable revisions within the agreed scope are included
Requests outside the agreed scope are treated as additional work
Additional work may be quoted or invoiced separately
Ockoe is not obligated to carry out work beyond the agreed scope without confirmation.

9. Intellectual property

9.1 Client ownership
Once all payments are made in full:

The client owns the final agreed deliverables created specifically for them

9.2 Ockoe ownership
Ockoe retains ownership of:

Tools, frameworks, templates, systems, and processes
Any premium licences or software owned by Ockoe
If a client purchases their own premium plugins or licences, those remain the client’s property.

Ockoe retains the right to showcase completed work for portfolio, marketing, and promotional purposes.

10. Maintenance & ongoing responsibility

Ongoing maintenance is not included unless part of an active support plan
Ockoe is not responsible for issues caused by:

Platform, plugin, or theme updates
Hosting changes or outages
Third-party tools or services
Emergency fixes outside a support plan are chargeable and subject to availability.

11. Maintenance Plan Addendum

Where a client is enrolled in an ongoing website support or maintenance plan, Ockoe’s Maintenance Plan Addendum applies in addition to these Terms of Service.

The Addendum outlines the scope of maintenance, response times, exclusions, and responsibilities for both parties and forms part of the overall agreement.

12. Termination & cancellation

Either party may terminate an agreement with written notice.

In the event of termination:

Payments already made are non-refundable
The client remains responsible for paying for work completed up to that point
Ockoe may terminate immediately for:

Non-payment
Breach of these terms
Breakdown in communication or working relationship

13. Limitation of liability

Ockoe will deliver services with reasonable care and professionalism.

However:

We do not guarantee specific business outcomes (e.g. sales, rankings, conversions)
We are not liable for indirect or consequential losses
We are not responsible for third-party failures or changes
Our liability is limited to the value of the services provided.

14. Governing law

These Terms of Service are governed by the laws of England and Wales.
Any disputes will be subject to the exclusive jurisdiction of the UK courts.
